These terms govern your use of innovationnexus.com. They do not govern consulting work. If you have a signed agreement, statement of work, or purchase order with Innovation Nexus LLC, that document controls the services and takes priority over anything on this page.

Acceptance

By using this site you accept these terms. If you do not accept them, please do not use the site. We may update the terms, and the effective date above shows when the current version took effect.

The site is information, not an offer

Descriptions of services, packages, and prices on this site are for information and are not an offer capable of acceptance. Nothing here creates a contract, a proposal, a bid, or a quotation. Engagements begin only when both parties sign a written agreement. For public bodies, nothing on this site substitutes for your procurement process or alters any solicitation document.

No professional advice

Articles, guides, templates, checklists, assessments, and downloads on this site are general information. They are not legal, accounting, audit, tax, procurement, insurance, records management, or cybersecurity advice, and using them does not create a professional or advisory relationship. Our AI policy template and readiness materials are starting points to adapt with your own counsel, not finished instruments. Municipal finance, GASB reporting, public records, and retention obligations vary by state and by entity. Verify anything here against your own rules, your auditor, and your attorney before you act on it.

AI assisted content

We build and operate AI systems, and we use them on our own site. Some articles, summaries, and images published here are produced or drafted with AI assistance and reviewed by a person before publication. AI assisted content can still contain errors, out of date figures, or confident sounding mistakes. Treat it as a starting point, check anything you intend to rely on, and tell us if you spot something wrong. Our approach is described in how we use AI.

Outcomes described in case studies, portfolio entries, and testimonials happened in a specific environment with specific constraints. They are illustrative, not a prediction and not a guarantee. Your systems, data quality, staffing, and timelines will differ. Timeframes such as delivery in weeks describe a typical fixed scope engagement and depend on your access, approvals, and environment.

Tyler Technologies, Tyler, Munis, EnerGov, EPL, OpenGov, Microsoft, SQL Server, SSRS, Power BI, Google, OpenAI, and all other product and company names on this site are the trademarks or registered trademarks of their respective owners.

Innovation Nexus LLC is an independent consultancy. We are not affiliated with, authorised by, endorsed by, sponsored by, certified by, or otherwise connected to Tyler Technologies, OpenGov, Microsoft, Google, OpenAI, or any other software vendor named on this site, unless we say so expressly and in writing on the page concerned. We name these products only to describe accurately the systems we work on, which is the ordinary descriptive use of a trademark. Vendor support, licensing, and warranty for those products remain matters between you and the vendor.

Our intellectual property

The content, layout, code, graphics, and downloadable materials on this site, along with Civic Suite and Civic Dashboard, belong to Innovation Nexus LLC or our licensors and are protected by copyright and other laws. You may read, print, and share pages for your own internal or non commercial use with attribution and a link back. You may not republish substantial portions, resell our materials, or present them as your own work without written permission.

We expressly reserve all rights to text and data mining, automated extraction, and use of this site content for training or fine tuning machine learning models. That reservation includes the rights reserved under Article 4 of EU Directive 2019/790. If you want a licence for any of this, ask us.

Acceptable use

When using this site, please do not:

• Probe, scan, or test the security of the site or attempt to bypass any access control.
• Send automated traffic at a rate that degrades the service for other people.
• Use the contact form to send unsolicited commercial messages, malware, or unlawful material.
• Submit confidential, regulated, or resident personal data through the public form.
• Misrepresent your identity or your authority to act for an organisation.

If you believe you have found a security vulnerability, please report it to sales@innovationnexus.com and give us a reasonable chance to fix it before disclosing it publicly. We will not pursue anyone who reports a genuine issue in good faith and does not access or alter other people data.

What you send us

You are responsible for what you submit through the site and you confirm you have the right to send it. If you send us feedback, suggestions, or ideas about our services, we may use them without obligation or payment. We do not claim ownership of any confidential material you send us, and if you send us something confidential by mistake, tell us and we will delete it.

Links to other sites

We link to third party sites for convenience. We do not control them, we do not endorse everything on them, and we are not responsible for their content or their handling of your information.

Availability and disclaimer of warranties

We work to keep the site available and accurate, but we provide it on an as is and as available basis. To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non infringement, and any warranty that the site will be uninterrupted, error free, or free of harmful components. Nothing in this section limits any warranty we give in a signed services agreement.

Limitation of liability

To the fullest extent the law allows, Innovation Nexus LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption, arising out of your use of this site, even if we were told such damages were possible. Our total liability arising out of or relating to this site is limited to one hundred US dollars. Liability for our own fraud, fraudulent misrepresentation, or anything else that cannot be limited by law is not excluded. Liability arising from consulting services is governed by the signed agreement for those services, not by this cap.

Governing law and venue

These terms are governed by the laws of the State of South Carolina, without regard to its conflict of laws rules. Any dispute about this website will be brought in the state or federal courts located in Florence County, South Carolina, and you consent to that jurisdiction. If you are a public body, nothing here waives any immunity, alters any statutory venue requirement, or overrides a governing law or venue clause in a signed agreement between us.

General

If any provision of these terms is held unenforceable, the rest stay in force. Our failure to enforce a provision is not a waiver of it. These terms, together with our privacy policy and cookie notice, are the whole agreement about your use of this website.
